This Merchant / Partner Agreement (“Agreement”) is between your business (“you,” the “Business”) and LocalRun, a service operated by (“LocalRun”). You accept it when you check the box at sign-up. It works together with our Terms of Service and Privacy Policy.
1. Sign-up and approval
- You confirm that the information you give us is accurate and that you are authorized to sign up the Business.
- New businesses start as pending. While pending, the Business is not shown to customers, cannot receive orders, and receives no payouts.
- LocalRun reviews every sign-up and may approve or decline it at its discretion. We aim to respond within 1 business day and will text the phone number you provided.
- After approval you finish setup in your store hub (for example, sales tax, menu, hours, and payouts) before customers can order.
2. How the money works
- Your menu price. For each online order, you receive your menu price for the items sold, minus any discounts, coupons, or promotions you choose to offer. LocalRun does not pay for your discounts.
- LocalRun’s markup. LocalRun adds a markup to online prices (pickup and delivery may differ). LocalRun keeps that markup and pays card processing fees out of it. No commission is taken from your menu price.
- Delivery fees. When an order is small or far, the customer may pay a delivery fee. If you choose to cover part or all of delivery fees, that share is deducted from your payout for those orders.
- Tips on delivery orders go to the driver.
- Your own deliveries. If you send orders you took yourself (for example, from your register) to LocalRun drivers, LocalRun charges the delivery cost shown in your store hub for each run.
- Refunds. If an order is refunded because of a problem caused by the Business (for example, wrong or missing items or quality issues), the refunded amount may be deducted from your payouts.
- Online prices may be higher than your in-store prices. You agree not to tell customers otherwise.
3. Payouts
Payouts are made through Stripe to the business bank account you connect. You must complete Stripe’s onboarding (including identity and tax information) to receive payouts. Payouts are subject to Stripe’s terms and timing. LocalRun may hold payouts that are under review for suspected fraud, chargebacks, or a breach of this Agreement, and does not pay out to businesses that are pending, rejected, or suspended.
4. Your responsibilities
- Food safety and quality. You are solely responsible for the products you sell — their safety, quality, preparation, packaging, labeling, allergens, and accuracy of orders.
- Accurate menu and hours. Keep prices, items, and hours current, and mark items that are sold out.
- Licenses and law. Hold all permits and licenses your business needs, and follow applicable laws, including rules for age-restricted products.
- Taxes. You are responsible for your own taxes, including collecting and remitting sales tax on your sales, unless the law makes LocalRun the marketplace facilitator responsible for collecting and remitting sales tax on orders placed through LocalRun. You will confirm the sales tax rate for your location in your store hub.
- Handoff. Have orders ready around the quoted time and hand them to the assigned driver or customer.
- Treat drivers and customers respectfully. Drivers are independent contractors, not your employees or LocalRun’s.
5. What LocalRun does
LocalRun provides online ordering, dispatch to independent drivers, payment processing through its processors, and your store hub. We don’t guarantee a particular number of orders or that a driver will always be available.
6. Your name and menu
You allow LocalRun to display your business name, logo, photos, menu, and hours on LocalRun to promote and take orders for your business. You confirm you have the right to share them.
7. Suspension and termination
- You may stop using LocalRun at any time by contacting us; amounts owed for completed orders will still be paid out.
- LocalRun may decline, suspend, or remove a business at any time — for example, for food-safety or quality complaints, inaccurate menus, fraud, chargebacks, unpaid amounts, or a breach of this Agreement.
8. Liability
You agree to cover claims, losses, and costs (including reasonable legal fees) arising from your products, your business operations, or your breach of this Agreement. To the fullest extent allowed by law, LocalRun is not liable for indirect or consequential damages or lost profits, and its total liability under this Agreement is limited to the markup LocalRun earned on your orders in the three months before the claim.
9. General
This Agreement is governed by the laws of the State of Tennessee. We may update it by changing the “Last updated” date above and notifying you; continuing to accept orders after an update means you accept it. The version you accepted at sign-up is recorded on your account.
